These Terms of Service (“Terms”) govern your access to and use of the website at www.kovaxs.com (the “Site”), operated by KOVAXS, Inc. (“KOVAXS,” “we,” “us,” or “our”). Please read these Terms carefully. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. About KOVAXS, Inc and our Brands

KOVAXS, Inc. is a C corporation registered in the State of New York that builds and operates a portfolio of specialized service companies, including GROWKINS (B2B lead generation and appointment setting) and TALNYX (digital marketing staffing and recruiting), together with any future brands operated by KOVAXS, Inc. (collectively, the “Brands”). References to “KOVAXS” in these Terms include the Brands where the context applies.

2. The Site is informational

The Site provides general information about KOVAXS, Inc. and its Brands. Content on the Site is for general informational purposes only and does not constitute professional, legal, financial, or other advice. Nothing on the Site is a guarantee of results or a binding commitment to provide services.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. By using the Site, you represent that you meet these requirements and that any information you provide is accurate.

4. Service engagements

Client engagements with KOVAXS, Inc. or any of its Brands are governed by separate written agreements between you and the relevant entity. Nothing on the Site constitutes an offer, contract, guarantee of outcomes, or binding commitment to provide services. In the event of a conflict between these Terms and a signed services agreement, the signed agreement controls with respect to that engagement.

5. No guarantee of results

Statistics, case results, and performance figures shown on the Site (for example, meetings booked or placements made) describe past activity and are not a promise or guarantee of future results. Outcomes depend on many factors outside our control.

6. Submissions you make

When you submit information through the Site — including inquiries, form responses, resumes, work samples, or other materials (“Submissions”) — you represent that the information is accurate and that you have the right to provide it. You grant KOVAXS, Inc a non-exclusive, royalty-free license to use your Submissions as reasonably necessary to respond to you and provide our services (for example, sharing a candidate’s materials with a prospective employer). Do not submit confidential information you are not authorized to share. Handling of personal information in Submissions is described in our Privacy Policy.

7. Intellectual property

All content on the Site — including text, graphics, logos, brand names, trademarks, and design — is the property of KOVAXS, Inc. or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, republish, distribute, or create derivative works from Site content without our prior written permission. “KOVAXS,” “GROWKINS,” and “TALNYX” are names used by KOVAXS, Inc. and may not be used without authorization.

8. Acceptable use

You agree not to:

• use the Site for any unlawful or fraudulent purpose;

• attempt to gain unauthorized access to the Site, its systems, or related networks;

• scrape, harvest, or collect content or data from the Site at scale or by automated means without our consent;

• submit false, misleading, or impersonating information;

• introduce malware or otherwise interfere with the operation or security of the Site; or

• infringe the rights of KOVAXS, Inc or any third party.

9. Third-party links and services

The Site may link to third-party websites or services (such as LinkedIn or our website and CRM platform). We do not control and are not responsible for the content, policies, or practices of those third parties. Accessing them is at your own risk and subject to their terms.

10. Disclaimer of warranties

The Site is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that information on the Site is accurate, complete, or current. Information may change without notice.

11. Limitation of liability

To the maximum extent permitted by law, KOVAXS, Inc., its Brands, and their respective officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Site, even if advised of the possibility of such damages. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (US $100).

12. Indemnification

You agree to indemnify, defend, and hold harmless KOVAXS, Inc., its Brands, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Site, your Submissions, or your violation of these Terms or applicable law.

13. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and share personal information. By using the Site, you consent to those practices.

14. Changes to the Site and to these Terms

We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also revise these Terms from time to time. When we do, we will update the “Last updated” date above. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

15. Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

16. Severability and entire agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and KOVAXS, Inc. regarding your use of the Site and supersede any prior understandings on that subject.
